Our key areas

Banking and finance: Our team assists local and international clients on a wide range of complex cross-border transactions and projects. Our expertise covers general lending, acquisition, funds, infrastructure, real estate and leveraged finance, the creation of collateral arrangements as well as their enforcement in a solvent or insolvent scenario.
Corporate and M&A: Our interdisciplinary lawyers cover the spectrum of corporate matters, with a particular focus on mergers and acquisitions, joint ventures, structuring of international transactions and IPOs.

We support a large variety of clients ranging from asset managers, banking institutions, insurance and reinsurance companies, corporates, high net worth and ultra-high net worth individuals, helping them to cut through the complexity of their deals.
Funds formation and asset management: Our funds team advises LPs and GPs in relation to the structuring and implementation of a variety of regulated and unregulated investment funds, AIFMs and management companies.

Our clients are active across numerous strategies, including private equity, real estate, infrastructure and debt, and we support them on all aspects of their dealings including regulatory, legal and tax.
Restructuring: We support our clients including creditors, debtors and shareholders both in Luxembourg and abroad in relation to judicial and out-of-court proceedings, whether in a solvent/restructuring or insolvency scenario.
Structured and asset finance: We assist our clients including issuers, arrangers and sponsors on a variety of securitisation and structure finance transactions, covering both structuring, issuance and listing.

We have developed over the years a strong asset finance practice spanning over several asset classes including aircraft, rolling stock, vessels and satellites.

In the aviation sector, we regularly assist our clients (airlines, operating lessors, lessees, lenders and MROs) on the structuring and implementation of a variety of acquisition (whether for financing or refinancing purposes) structures covering a variety of aircraft brands and types including financial leases and JOLCOs. In particular, we assist our clients in the drafting and negotiation of the main finance documents, local and foreign security documents (including under the Cape Town Convention), maintenance contracts and operating leases.
Tax structuring and litigation: Our tax experts provide actionable advice on all aspects of Luxembourg direct and indirect tax both in a national and international context in a variety of areas ranging from private equity, wealth planning, M&A, finance transactions, private debt, real estate and funds formation.
