Rebecca is a projects lawyer who acts on all aspects of infrastructure transactions, including transport, healthcare, energy and utility projects, public procurement, social infrastructure, corporate finance, acquisitions, project finance and various other commercial matters.
Rebecca has a broad commercial skillset, in particular dealing with complex project agreements and regulatory aspects of large scale projects.
Rebecca has experience supporting clients with the full spectrum of their needs – from business as usual advice to intensive support on long-term projects.
- Experience
Specific examples include:
- an NHS Foundation Trust on the hive out of one of its subsidiaries into a wholly-owned subsidiary and subsequent £multi-million sale by competitive auction of its generic pharmaceuticals manufacturing business to private equity. This included navigating complex regulatory aspects alongside a private equity corporate transaction;
- a Local Authority in relation to their PFI contracts and aspects relating to contract breaches, including providing a range of strategic advice to the client in respect of risks to the project, termination rights, application of deductions and interpretation of central Government guidance and assessment of risk allocation. It also involved liaison with various central Government departments to ensure continued support;
- a Government transport body on its procurement of a Franchisee and an extension to an existing franchise agreement;
- an SPV on the operation and running of a PFI hospital, including advising on in-life contractual arrangements and variations to the project agreement;
- PFI Handback extensive work in relation to the numerous PFI projects approaching handback and re-procurement in the market and navigating the complex process - including acting for public and private bodies (and managing and running various conferences across England, Scotland and Ireland); and
- a public body on the potential termination of its PFI project, including strategic advice on rights to deduct and drafting various Standstill Agreements during commercial negotiations.
