Joanna is a Commercial, Data, and IT/Technology solicitor in our Manchester Commercial team, with experience advising upon a variety of commercial contracts and data protection matters across a broad spectrum of sectors, including: technology; manufacturing; media; fintech; hospitality and leisure; healthcare; and retail.

As a member of the Society for Computers and Law, Joanna has extensive experience in drafting and negotiating IT and tech contracts, including: SaaS; App terms and conditions; end-user licence agreements; and value-added reseller agreements. 

Joanna is a member of the International Association of Privacy Professionals and has broad and varied experience advising clients on data and privacy compliance, including complex data processing, sharing and international transfer arrangements. 

Experience

IT and Tech. Acting for a leading UK national education and assessment body in its acquisition of a software business, which included: drafting and negotiating a transitional services agreement to provide for the continued supply of intra-group shared services; reviewing and advising upon an extensive suite of open-source software licences, including the copyleft risks arising in relation to restrictive licences; reviewing and advising upon a substantial suite of commercial contracts and reporting on the legal and commercial risks; 

Fintech. Acting for an international fintech supplier in relation to an e-money solution offering peer-to-peer transaction functionality, which included: drafting a SaaS agreement with a corresponding support and maintenance agreement; and drafting a privacy policy, data protection policy and record of data processing activities;

Data and Privacy. Acting for a leading provider of financial and investment products in relation to a new digital offering enabling retail customers to access and manage financial and investment products, which included: conducting a detailed data mapping exercise and drafting a suite of data protection documents for financial regulation and data protection law compliance purposes;

Manufacturing and Supply. Acting for a leading UK and EU manufacturer and supplier of biocidal products, which included: drafting manufacturing and services agreements and standard terms and conditions of supply; and advising upon regulatory compliance matters for the marketing of biocidal products within the UK and the EU; and

Manufacturing and Supply. Acting for a major UK manufacturer and supplier of mattresses in the drafting and negotiation of a manufacturing and supply agreement with an international mattress brand.
