Expertise
Rory advises energy and infrastructure corporates, financial sponsors, banks and strategic finance institutions (including ECAs, DFIs and sovereign wealth funds) on a range of complex transactional and structured projects work in the energy and infrastructure sectors. He is particularly focused on cross-border, multi-source project financings, as well as prepayment/forward funding arrangements, joint-ventures, project acquisitions and disposals, and other project development and commercial matters. Rory has over 18 years' experience advising in the energy and infrastructure sector globally, both in mature markets and emerging markets.
His experience spans conventional power generation, nuclear power, hydropower, solar, gas and oil, LNG, industrial gases, as well as various non-energy infrastructure.
Rory co-heads Addleshaw Goddard's Power sector team and is ranked as a "Leading Partner" in Legal 500.
Recent experience includes:
- UK National Wealth Fund, as principal lender, on the financing of the 3,200 MW Sizewell C nuclear power project in the UK
- APRE Limited, as project company, in relation to the Achwa 1 hydropower project including due diligence on project documentation, along with drafting and negotiation of project finance documentation with DFIs.
- A private-equity backed joint venture project company on the development and ECA-backed financing of the Atuabo gas processing project in Ghana
- British International Investment on its strategic joint venture with Norfund known as Klinchenberg BV (Klinchenberg) to invest in the African hydropower portfolio originally developed by Norwegian hydropower development, SN Power including the 250 MW Bujagali hydropower project in Uganda; the 206 MW Ruzizi III hydropower project in Burundi; DRC and Rwanda; the 361 MW Mpatamanga hydropower project in Malawi; and 120 MW Volobe hydropower project in Madagascar, as well as a pipeline of +30 other hydropower projects across Sub-Saharan Africa.
- Norfund, as sponsor, on defining a structure and strategy for private-sector participation in the 40 MW Fula rapids hydropower project and preparing associated legal documentation.
- A KSA based global port operator on the project financing arrangements for the kit-out and operation of a container port terminal in Bangladesh
- ACWA Holding and Air Products on the construction and financing of a US$2 billion air separation unit for the supply of industrial gases to Saudi Aramco at Jazan, Saudi Arabia.
- Greencoat Capital on the joint acquisition and development of one of the largest renewable heat projects in the UK.
- Tata Power and Clean Energy Invest on the development and financing of Phase 1 of the 400 MW Adjaristsqali Cascade hydropower project, located in Georgia, as well as subsequent refinancing.
- Norfund on the sale of a significant minority interest in the 258 MW Uppington solar project in South Africa to South Africa fund manager, Stanlib.
- The project company (as borrower), whose shareholders include Credicorp Group, Norfund and Agua Imara, on its prepayment and exit from its project finance arrangement with the existing lenders (FMO of the Netherlands, DNB of Norway, Proparco of France and DEG of Germany) in relation to the 58 MW Bajo Frio hydropower project in Panama.
- Japan Bank for International Cooperation and Asian Development Bank on the project finance facilities for the 2,500MW Gulf SRC Gas-Fired Combined Cycle Power Plant Project in Thailand
- A global port operator on the project financing of a port and logistics project in Chennai, India.
- AREVA SA on all matters relating to a proposed EUR 500 million vendor-equity financing of the 2 x 1600 Hinkley Point C nuclear power project, including the Contract for Difference regime, waste management strategy and HM Treasury Guarantee Scheme.
- A joint-venture comprised of NNPC E&P and Neconde on a USD 1.95 billion prepayment for the financing arrangement for the exploration and development of Nigerian upstream licence area OML 42 as well the related establishment and structuring of a mid-stream gas joint venture.
- A UK commercial bank on the project financing arrangements related to storage terminal assets at one of the UK's largest oil refineries
